Brainbees Acquires KA Hygiene in Rs 57.7 Crore Share Swap Deal

Pune-based Brainbees Solutions, the parent company of FirstCry, has announced the acquisition of K.A. Enterprises (Hygiene) as part of its strategy to strengthen its presence in the hygiene and disposable products segment. The acquisition will be carried out through Brainbees’ subsidiary, Swara Baby Products.
According to a regulatory filing dated December 23, Swara Baby will acquire 100 percent equity in KA Hygiene through a share swap transaction valued at Rs 57.74 crore. As part of the deal, Swara Baby will issue 38,49,572 equity shares to the existing shareholders of KA Hygiene. No cash will be exchanged in the transaction.
Following the share issuance, Brainbees’ stake in Swara Baby will reduce from 87.29 percent to 75.92 percent. The company expects to complete the acquisition by the end of the current year.
Founded in 2019, KA Hygiene is engaged in the manufacturing and trading of hygiene products. The company recently consolidated its operations by taking over the business of a related entity operating in the same segment. On a consolidated basis, the hygiene business reported revenue of Rs 84.01 crore in FY25, up from Rs 80.42 crore in FY24 and Rs 58.45 crore in FY23. It posted a profit after tax of Rs 5.22 crore in FY25. KA Hygiene’s standalone operations have only recently commenced, and its individual financials remain limited at this stage.

Separately, Brainbees has also been expanding internationally. Earlier, the company incorporated Swara Corp in the United States through Swara Baby Products to support its overseas growth plans in hygiene and disposable categories.
Brainbees continues to show strong financial momentum. In Q2 FY26, the company reported consolidated revenue from operations of Rs 2,099 crore and a positive EBITDA of Rs 111 crore for the quarter ended September 30, 2025.
