  • The deal aligns with India’s plan to become a premier global MRO hub amid a projected addition of 1,500+ aircraft in the coming years.
Adani Defence Systems and Technologies Limited (ADSTL), in partnership with Prime Aero, has signed a binding agreement to acquire a 100% stake in Indamer Technics Private Limited (ITPL), one of India’s leading private-sector Maintenance, Repair, and Overhaul (MRO) companies. The acquisition will be executed through Horizon Aero Solutions Limited, a 50-50 joint venture between ADSTL and Prime Aero, owned by Prajay Patel, Director of Indamer Technics.
Strategically located in Nagpur’s MIHAN special economic zone (SEZ), ITPL operates a state-of-the-art greenfield facility spread over 30 acres, with the capacity to accommodate 15 aircraft bays across 10 hangars. The facility is approved by the Directorate General of Civil Aviation (DGCA), the US Federal Aviation Administration (FAA), and other leading global aviation regulators. It provides a full suite of MRO services, including lease return checks, heavy C-checks, structural repairs, and aircraft painting, catering to both domestic and international clients.
Highlighting the industry’s rapid growth, Jeet Adani, Director, Adani Airports, said, “The Indian aviation industry has undergone an unprecedented transformation, emerging as the third-largest globally in terms of passenger traffic. With Indian carriers expected to induct over 1,500 aircraft in the coming years, we are on the cusp of a new era in aviation. This acquisition is the next step in establishing India as a premier global MRO destination and building an integrated aviation services ecosystem that strengthens the nation’s aviation infrastructure”.
Ashish Rajvanshi, CEO of Adani Defence and Aerospace, noted that the acquisition marks a critical milestone in the company’s vision to deliver comprehensive MRO solutions for both commercial and defence aviation. “Following the addition of Air Works to our portfolio, this acquisition further strengthens our capabilities and reinforces our position as India’s largest private-sector MRO player. Nagpur’s central location adds immense value by enhancing our pan-India footprint and providing substantial capacity to scale operations”, he said.
Adani Defence & Aerospace, part of the Adani Group, is known for its advanced defence product design, development, and manufacturing. The company has cultivated a strong ecosystem of startups and MSMEs, focusing on export-oriented strategies, global quality benchmarks, and cutting-edge processes.
Prajay Patel, Director of Indamer Technics and Prime Aero, expressed optimism about the collaboration. “We are excited to partner with Adani Defence & Aerospace to take Indamer Technics to new heights. This partnership combines our engineering expertise with Adani’s robust infrastructure and growth capital, positioning us to deliver unmatched value to our customers".
With this acquisition, Adani Defence & Aerospace is poised to play an even greater role in shaping India’s aviation future, reinforcing the country’s ambition to become a global MRO hub.
