NCLT Gives Green Light to Dalmia Cement (North East) and Vinay Cement Merger

Dalmia Bharat Limited reported that the National Company Law Tribunal (NCLT), Guwahati Bench, approved the merger of Dalmia Cement (North East) Limited with Vinay Cement Limited. The February 21, 2025, order allows demerger and transfer of cement and mining businesses of Vinay Cement to Dalmia Cement (North East).
The Scheme of Arrangement, approved under Sections 230 to 232 of the Companies Act, 2013, will come into effect from the appointed date of March 31, 2023. Importantly, the parent company Dalmia Bharat is not a party to the Scheme, and no shares will be allotted by or to the company as part of the merger. Both subsidiaries will remain operational under the Dalmia Bharat fold after NCLT's approval.
The certified copy of the order was received by Dalmia Cement (North East) Limited on 12th March 2025. The firm communicated that completion of the implementation of the Scheme would be attained on completion of all legal formalities, as would be submission of the certified order with Registrar of Companies in Guwahati.
This merger is likely to consolidate Dalmia Cement's position in the North East, improve operational efficiency and further its position as a major player in the region's cement market.
