TCS Offers Rs. 1218 Crore to EPIC Systems for Settlement of the Proprietary Information Issue

Tata Consultancy Services (TCS), the global leader in IT services, consulting & business solutions has stated about the EPIC Systems Corporation matter that it could be offering 1,218 crore as distinctive merchandise, within the monetary outcomes for the three and six months ended September 30, 2020.

In October 2014, EPIC had filed a legal claim against TCS in the court of Western District Madison, Wisconsin alleging infringement of Epic’s proprietary information. “On August 20, 2020, the US Court of Appeals, 7th Circuit, Chicago, returned a verdict on the appeal filed by TCS, reducing the damages award. The Court held that the punitive damages award of $280 million is constitutionally excessive, vacated the punitive damages award and directed the Trial Court to reassess the punitive damages,” TCS said in its filing. The court halved the damages to $140 million.

“TCS is legally advised that it has the correct and the strongest possible arguments in its favour and the Order and reduced damages are not supported by facts presented during the Trial. In September 2020, TCS has filed petition seeking re-hearing on both compensatory and punitive damages,” TCS said.

The company also stated that EPIC has also filed a petition seeking re-hearing on the decision of the Appeals Court invalidating award of punitive damages exceeding the amount of compensatory damages. “The provision in the books for legal claim is being made as a matter of prudence,” it added.

The matter relates to a US grand jury order that slapped two Tata group companies - TCS and Tata America International Corp with a $940 million fine in a trade secret lawsuit filed against them by EPIC in April 2016. On April 16, 2016, TCS made a disclosure to the stock exchanges regarding a US court verdict related to an intellectual property rights case with EPIC Systems. However, the punitive damages were reduced to $420 million from $940 million by a US court in October 2017. In January 2018, TCS said it made a $440 million letter of credit available to Epic Systems.

In a separate filing, TCS informed that it will also consider share buyback proposal during its board meet to accept second-quarter results on Wednesday. The quantum of shares to be repurchased was not disclosed. The board will also consider an interim dividend during the meeting. The company has cash reserves of around 73,993 crore as of March 2020.

Not just that, but in May this year, Securities and Exchange Board of India (SEBI) had warned TCS to be careful in dealing with disclosure of material information to investors after the watchdog found that the IT major did not prominently display the extent of damages related to a case in the US. The regulator has also asked the company to ensure that disclosures provide adequate, accurate, explicit and timely information to the investors.
